This Privacy Policy explains how Sparesco collects, uses, processes, stores, shares, and safeguards information obtained from users when they visit our website, use our mobile applications, or otherwise interact with our services (collectively, the “Platform”). This policy applies to all visitors, registered users, buyers, sellers, and business partners who access or use the Platform.
By accessing the Platform or providing information to Sparesco, you acknowledge that you have read and understood this Privacy Policy and consent to the collection, use, and disclosure of your information in accordance with the terms described herein. If you do not agree with this Privacy Policy, you should refrain from using the Platform or submitting personal or business information.
1. Nature and Scope of the Platform
Sparesco operates an online business-to-business (B2B) marketplace designed to facilitate the discovery, listing, enquiry, quotation, sale, and purchase of spare parts, components, consumables, and related products and services. Sparesco acts solely as a technology platform that enables interactions between buyers and sellers and does not manufacture, stock, own, or directly sell products unless expressly stated otherwise. Except where explicitly specified, Sparesco is not a party to any transaction entered into between buyers and sellers and does not assume responsibility for the quality, legality, safety, pricing, delivery, or suitability of products listed on the Platform.
The Platform may include features such as product listings, RFQs, quotations, order management, messaging, logistics coordination, and payment facilitation. Sparesco reserves the right to modify, add, suspend, or discontinue any feature or functionality of the Platform at any time without prior notice.
2. Eligibility and Account Registration
Use of the Platform is restricted to individuals and entities that are legally capable of entering into binding contracts under applicable laws. If you provide information on behalf of a business entity, you confirm that you have the necessary authority to share such information and to allow Sparesco to collect, use, and process it in accordance with this Privacy Policy.
Users are required to provide accurate, complete, and up-to-date information during registration and must promptly update such information if it changes. Sparesco reserves the right to verify user information, including business credentials, tax identification details, and supporting documentation, and may suspend or terminate accounts that provide false, misleading, or incomplete information.
Each user is responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account. Sparesco shall not be liable for any loss or damage arising from unauthorized access to or use of a user’s account.
3. Buyer and Seller Obligations
Buyers agree to use the Platform solely for legitimate business purposes, to provide accurate purchase requirements, RFQ details, and delivery information, and to make timely payments for orders placed through the Platform. Buyers acknowledge that product specifications, availability, pricing, delivery timelines, and warranties are provided by sellers and not by Sparesco.
Sellers agree to provide accurate, complete, and lawful product listings, specifications, pricing, certifications, and compliance information. Sellers are solely responsible for ensuring that their products comply with all applicable laws, standards, and regulations, including taxation, safety, and intellectual property requirements. Sellers further agree to honor quotations, fulfill accepted orders, provide accurate invoices, and manage returns, replacements, or warranties in accordance with applicable laws and their stated policies.
Sparesco reserves the right to monitor, review, modify, or remove listings, RFQs, quotations, or user content that violate these Terms or applicable laws.
4. Orders, RFQs, Pricing, and Payments
The Platform may allow buyers to place direct orders or submit RFQs to sellers. All quotations, prices, discounts, delivery timelines, and payment terms are determined by sellers unless otherwise stated. Placement of an order or acceptance of a quotation constitutes a binding agreement between the buyer and seller, subject to these Terms.
Payments, where facilitated through the Platform, are processed via third-party payment gateways. Sparesco does not store sensitive payment information and shall not be responsible for payment failures, delays, chargebacks, or disputes arising from payment processing systems. Taxes, duties, shipping charges, and other statutory levies may be applicable and are the responsibility of the relevant party as per applicable laws.
Sparesco may, at its discretion, charge service fees, commissions, subscription fees, or other charges for use of the Platform, which shall be communicated separately.
5. Logistics, Delivery, and Risk Allocation
Logistics and delivery services may be provided by third-party partners or arranged directly between buyers and sellers. Delivery timelines are estimates only and may be subject to delays due to factors beyond Sparesco’s control. Unless otherwise agreed, risk of loss or damage to products shall pass in accordance with the agreed commercial terms between buyer and seller.
Sparesco does not guarantee delivery performance and shall not be liable for delays, losses, or damages occurring during transit.
6. Cancellations, Returns, and Disputes
Cancellations, returns, replacements, and refunds are governed by the policies of the relevant seller and applicable laws. Sparesco may, at its discretion, provide limited assistance in facilitating communication between buyers and sellers for dispute resolution but does not guarantee any specific outcome.
All disputes arising between buyers and sellers shall be resolved directly between the parties. Sparesco shall not be liable for any claims, damages, or losses arising from such disputes.
7. Intellectual Property Rights
All intellectual property rights in the Platform, including software, design, text, graphics, logos, and trademarks, are owned by or licensed to Sparesco. Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for its intended business purposes.
Users retain ownership of content they upload but grant Sparesco a worldwide, royalty-free license to use, reproduce, display, and distribute such content for the operation and promotion of the Platform.
8. Prohibited Conduct
Users agree not to misuse the Platform, including by uploading unlawful or infringing content, engaging in fraudulent activities, attempting to gain unauthorized access, interfering with Platform operations, or using the Platform for competitive intelligence, data scraping, or reverse engineering without authorization.
Sparesco reserves the right to suspend or terminate accounts engaging in prohibited conduct.
9. Suspension and Termination
Sparesco may suspend or terminate access to the Platform, with or without notice, if a user violates these Terms, applicable laws, or engages in conduct that may harm Sparesco, other users, or the integrity of the Platform.
Termination shall not affect accrued rights or obligations of the parties.
10. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis. Sparesco disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Sparesco does not warrant uninterrupted or error-free operation of the Platform.
11. Limitation of Liability
To the maximum extent permitted by law, Sparesco shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of the Platform, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
12. Indemnification
Users agree to indemnify and hold harmless Sparesco, its directors, officers, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from their use of the Platform, violation of these Terms, or infringement of third-party rights.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. The courts located at Mumbai, India shall have exclusive jurisdiction over any disputes arising under these Terms.
14. Amendments and Severability
Sparesco may modify these Terms at any time by posting the revised version on the Platform. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms and Conditions are intended to form a legally binding agreement for a B2B online marketplace and should be reviewed by legal counsel prior to final publication.
